Terms of Service

These Terms of Service (the "Terms") govern access to and use of the Tueron platform (the "Service"), operated from Brazil by Tueron ("Tueron", "we", "us"). By creating an account or using the Service, the customer ("you", "Merchant") agrees to these Terms. If you are agreeing on behalf of a company, you represent that you are authorized to bind it.

1. The Service

Tueron is software that connects a Merchant's own payment providers and advertising accounts, reconciles order and payment data, forwards server-side conversion events to the Merchant's own advertising pixels, and presents reporting on advertising spend and confirmed revenue.

Tueron is not a payment institution, acquirer, bank or money transmitter. We do not process, hold, route or settle Merchant funds; payments are handled by the payment providers the Merchant contracts directly. Tueron is not a media buying agency and does not resell advertising inventory.

2. Accounts and eligibility

You must be at least 18 years old and legally able to enter into contracts. You are responsible for the accuracy of your registration data, for the confidentiality of your credentials, and for all activity under your account. Notify us at security@tueron.com of any unauthorized use.

3. Third-party integrations

The Service connects to third-party platforms, including advertising platforms and payment providers. By connecting an account you confirm that you own it or are authorized to grant access to it, and you authorize Tueron to access it within the scopes granted, for the purposes described in our Privacy Policy.

Your use of each third-party platform remains governed by your agreement with that platform. You are responsible for complying with those platforms' terms, advertising policies and community guidelines. Tueron does not control third-party platforms and is not responsible for their availability, changes to their APIs, or their decisions regarding your accounts.

5. Data ownership

You retain all rights to the data you submit or connect to the Service ("Merchant Data"). You grant us a limited licence to host, process and transmit Merchant Data solely to provide the Service to you and as instructed by you. We do not use Merchant Data for our own commercial purposes, do not disclose it to other Merchants, and do not sell it. Our handling of Merchant Data is described in the Privacy Policy, which forms part of these Terms.

6. Intellectual property

The Service, including its software, interfaces, documentation and trademarks, is owned by Tueron and protected by intellectual property law. These Terms grant you a non-exclusive, non-transferable, revocable right to use the Service during your subscription. No other rights are granted.

7. Fees

Access to the Service is provided under the subscription plan you select. Fees, the billing cycle and what each plan includes are shown at the point of purchase and in your account. Fees are payable in advance and, unless required by law, are non-refundable for a period already started. We may change pricing with at least 30 days' notice, effective at your next renewal. Non-payment may result in suspension after notice.

8. Availability and support

We work to keep the Service available and reliable, but do not guarantee uninterrupted operation. We may perform maintenance, and we may modify or discontinue features. Where a change materially reduces core functionality, we will give reasonable advance notice. Support is provided by email at the addresses published on our website.

9. Disclaimers

Except as expressly stated in these Terms and to the extent permitted by law, the Service is provided "as is", without warranties of any kind. Reporting, attribution and conversion metrics are estimates derived from data supplied by third-party platforms and providers; we do not warrant that they will match any platform's own figures, and they must not be relied on as the sole basis for accounting, tax or legal determinations.

10. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or lost business opportunity. Our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid us for the Service in the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or wilful misconduct.

11. Indemnity

You will indemnify and hold Tueron harmless from third-party claims arising out of your use of the Service in breach of these Terms, your Merchant Data, your products and advertising, or your violation of applicable law or of a connected platform's terms.

12. Term, suspension and termination

These Terms apply while you hold an account. You may cancel at any time, effective at the end of the current billing period. We may suspend or terminate access for material breach of these Terms, non-payment after notice, or where required by law or by a connected platform. On termination your right to use the Service ends and we delete your data as described in the Privacy Policy. You may export your data before termination takes effect.

13. Changes to these Terms

We may update these Terms. The effective date at the top reflects the current version. For material changes we give notice by email or in-product before they take effect. Continued use after that date constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the Federative Republic of Brazil. The courts of Brazil have exclusive jurisdiction over any dispute, without prejudice to any mandatory consumer protection rights available to you in your country of residence.
